These Terms of Use (“Terms”) govern your access to and use of https://tfgfinancial.com (the “Site”) and related online services provided by TFG Financial Corporation (“TFG,” “Company,” “we,” “us,” or “our”).

By accessing or using the Site, submitting information through the Site, or requesting services through the Site, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Site.

These Terms do not replace any separate financing agreement, credit authorization, disclosure, or other agreement applicable to your transaction. Acceptance of these Terms alone does not constitute consent to receive marketing or automated text messages.

1. Commercial purpose only

The financing services described on the Site are intended for individuals and businesses seeking financing for commercial or business purposes.

By submitting a financing application or request, you represent and warrant that the financing requested is for business or commercial purposes and is not for personal, family, or household use.

If you submit information on behalf of a business or another person, you represent that you have the authority to do so.

2. Our services

TFG provides commercial equipment financing and related financing solutions, including financing programs offered through relationships with brokers, equipment vendors, manufacturers, dealers, lenders, and other business partners.

Depending on the transaction, financing may be provided by TFG or another applicable financing provider.

Our services may include collecting and evaluating financing applications, structuring financing solutions, preparing documentation, facilitating funding, and providing customer service and account support.

TFG does not guarantee that you will receive financing, a particular financing product, interest rate, term, approval amount, or other financing terms.

Financing decisions are made by TFG or the applicable financing provider and are subject to underwriting requirements, verification, approval criteria, and applicable transaction documents.

3. Financing applications and credit authorization

When you submit a financing application or request, information may be collected, verified, used, and disclosed as reasonably necessary to evaluate and process your request, in accordance with applicable law, our Privacy Policy, and any separate application authorizations.

This may include verifying your identity, business and ownership information, financial information, and other application details; evaluating financing eligibility; communicating with you; and preparing financing documentation.

Consumer and/or commercial credit reports may be obtained where legally permitted and appropriately authorized. Where required, we will obtain separate authorization before accessing a credit report or other regulated information. Merely browsing the Site does not authorize a credit inquiry.

Your application information may be shared with applicable financing providers and service providers where permitted by law and consistent with the authorizations you provide. Additional information or documentation may be requested.

Financing-related information sharing does not transfer your SMS consent to another company or authorize another company to send you marketing text messages.

Submitting an application does not guarantee approval or funding.

4. Financing providers and business partners

TFG may work with brokers, vendors, dealers, manufacturers, lenders, financial institutions, and other financing or business partners.

Depending on the transaction, TFG or an applicable financing provider may independently assess your application, request additional information, conduct credit or underwriting reviews, offer financing, or decline your request.

Where another financing provider is involved, that provider determines its own approval criteria, rates, fees, and financing terms.

Any financing agreement will identify the parties to the transaction and set out the applicable obligations. If these Terms conflict with a signed financing agreement concerning that transaction, the financing agreement will govern.

5. Electronic communications and e-signatures

Subject to applicable law and any required consent, communications and documents relating to your application, transaction, or account may be provided electronically.

These may include application updates, requests for information, financing decisions, transaction documents, account communications, disclosures, and notices.

Where electronic records or signatures require a separate consent process, we will provide the applicable disclosures and obtain that consent. These Terms do not replace any legally required electronic delivery or signature authorization.

You may request information about available delivery options or withdraw electronic delivery consent by contacting us. We will explain any resulting effect on document delivery or processing and any available alternatives.

SMS communications are subject to Section 6 below.

6. Telephone, SMS/MMS and marketing communications

A. Telephone and email

TFG may communicate with you by telephone or email regarding inquiries, applications, transactions, or accounts, subject to applicable law and your communication preferences.

Marketing communications and automated calls require any consent applicable to those communications. You may unsubscribe from marketing emails using the instructions provided in the email.

B. TFG Financial SMS/MMS program

TFG Financial Corporation offers an optional SMS/MMS program for application updates, document requests, transaction notifications, account updates, appointment reminders, and customer service communications.

Messages may be recurring and may be sent using automated technology. Message frequency varies depending on your requests, application activity, account activity, and interactions with TFG.

C. Consent

TFG obtains consent before enrolling you in its text messaging program. Your consent applies to TFG and the message categories disclosed when you opt in.

Providing a telephone number, submitting a financing application, or accepting these Terms does not by itself enroll you in recurring text messages or authorize marketing texts.

Marketing text messages require a separate, appropriate opt-in. Consent to receive text messages is not a condition of purchasing goods or services or obtaining financing.

D. Opting out

You may cancel text messages at any time by replying STOP to a TFG text message or by contacting us.

After opting out, you may receive one final text confirming your cancellation. No further messages will be sent under the opted-out program unless you provide a new opt-in.

Opting out of SMS does not cancel your application, financing agreement, or account obligations. We may communicate through other permitted channels.

F. Charges and delivery

Message and data rates may apply. Contact your wireless carrier for details about your plan.

Message delivery depends on your carrier and network availability. Wireless carriers are not liable for delayed or undelivered messages.

G. Mobile information and privacy

Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. SMS opt-in data and consent will not be sold, rented, or transferred to another company for its messaging programs.

Service providers may process information solely to operate and support TFG’s messaging program, subject to confidentiality and restrictions on independent use.

H. Your telephone number

You represent that you are the subscriber or authorized user of the telephone number you provide. Please notify us if your number changes or you are no longer authorized to use it.

7. User responsibilities

You agree that information you provide to TFG or an applicable financing provider will be accurate, current, and complete.

You agree not to provide false, misleading, or fraudulent information; impersonate another person or business; submit an application without authorization; or use the Site for unlawful purposes.

You must not interfere with the security or operation of the Site, introduce malicious software, attempt unauthorized access, or use the Site in a manner that could damage, disable, overburden, or impair it.

8. Third-party services

Our services may involve third-party financing providers, credit reporting agencies, technology providers, payment providers, communications providers, and other service providers.

The Site may also contain links to third-party websites. These links are provided for convenience and do not necessarily constitute an endorsement.

To the extent permitted by applicable law, TFG is not responsible for independently operated third-party websites or the products, policies, decisions, or services of independent financing providers.

Nothing in these Terms excludes any responsibility TFG has under applicable law for service providers acting on its behalf.

Your relationship with an independent financing provider may be governed by separate agreements, privacy policies, disclosures, and other documentation.

9. Website content and availability

We make reasonable efforts to provide accurate and current information on the Site. However, we do not guarantee that Site content will always be complete, accurate, current, or error-free.

The Site may occasionally be unavailable, interrupted, or subject to technical issues.

We may modify, suspend, or discontinue any portion of the Site. Such changes do not alter obligations under an existing financing agreement.

10. No guarantee of financing

Information on the Site regarding financing products, rates, terms, approval amounts, or financing opportunities is for general informational purposes unless expressly stated otherwise.

Any financing offer is subject to underwriting, approval, verification, and the applicable financing documents.

TFG does not guarantee financing approval, a particular interest rate or APR, loan or lease amount, term, down payment, funding date, or availability of any particular financing product.

Submitting an inquiry or application does not create a binding commitment to provide financing.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TFG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, CONCERNING THE SITE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

THIS DISCLAIMER DOES NOT ALTER EXPRESS OBLIGATIONS IN A SIGNED FINANCING AGREEMENT OR EXCLUDE ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TFG, ITS AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE.

This limitation does not apply to liability that cannot legally be limited or excluded, and it does not modify obligations expressly set out in a separate signed agreement.

13. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless TFG and its affiliates, employees, and representatives from third-party claims, losses, liabilities, damages, costs, and reasonable expenses arising from your unlawful misuse of the Site, violation of these Terms, submission of information you know to be false or misleading, or infringement of another person’s rights.

This provision does not require you to indemnify a party for its own conduct where such indemnification is prohibited by law.

14. Governing law and disputes

These Terms will be interpreted in accordance with applicable laws, taking into account your jurisdiction and the nature of the applicable transaction.

A separate financing agreement may specify the governing law and dispute resolution procedures for that transaction.

Nothing in these Terms deprives you of rights or remedies that cannot legally be waived or limited.

15. Privacy

Our Privacy Policy explains how TFG collects, uses, discloses, and protects personal information.

Please review the Privacy Policy before submitting personal information.

The SMS privacy restrictions in Section 6 apply specifically to mobile information and messaging consent. General financing-related information sharing does not authorize another company to use your SMS opt-in or consent.

16. Changes to these Terms

We may update these Terms from time to time. When we make changes, we will post the updated Terms on the Site and update the “Last Updated” date.

Your continued use of the Site after updated Terms are posted constitutes acceptance to the extent permitted by applicable law.

Changes to these Terms do not expand your SMS consent. We will obtain additional consent where required before changing the scope of messages you receive.

17. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
